Submission of Motions for the 2023 Annual General Meeting (AGM)

The deadline to submit Motions for the 2023 AGM is 26 June 2023 at 17h00. Motions received after this deadline will not be considered. Only a Principal Member in good standing may submit a motion. The Principal Member should present his/her motion at the AGM.

What is a Motion?

A Motion is a written proposal, formally submitted to KeyHealth for discussion and possible adoption as a recommendation at the 2023 AGM. A Motion must meet all criteria as set out in the KeyHealth Scheme Rules.

Rule defines a MOTION as a matter that:

  1. Affects the person’s membership or
  2. Affects the objects of the scheme, or
  3. Might increase or decrease contributions and/or benefits by more than 25% during any financial year.

The objects of the scheme are set out in Rule 5, and they are:

  1. To undertake liability in return for a contribution.
  2. To make provision for the obtaining of relevant health services.
  3. To grant assistance to members by paying claims incurred when obtaining health services; and
  4. To provide health services itself or through contracted suppliers.

If you intend submitting  a Motion for consideration, you must ensure that your motion meets all the following criteria:

  1. A Motion may not deal with matters that fall outside the scope of the AGM.
  2. A Motion must be for the benefit of all members and/or be in the best interest of KeyHealth and its members.
  3. A Motion must be submitted in writing, must be concise, clearly set out and accompanied by a detailed motivation.
  4. The Principal Member concerned shall first be required to engage with the Scheme/Trustees in good faith on the subject of his/her intended motion.
  5. All motions received by the Principal Officer will be evaluated by the Board, based on the above guidelines and only valid motions will be tabled at the meeting.

In the event that a Motion does not meet all the above-mentioned criteria, the Motion may be deemed invalid.

Personal claim queries or benefit queries will be addressed outside of this process.

How to submit a Motion?
